Hayley is Counsel within the Executive Compensation and Governance Practice Group. She advises clients across a wide range of industries and stages of growth on executive compensation, employment, employee benefits and ERISA issues that arise in connection with mergers and acquisitions, private equity transactions, debt and equity financings, initial public offerings and other public and private corporate transactions. Her experience includes the negotiation and drafting of executive employment, separation and change in control agreements, the design and implementation of equity and non-equity incentive compensation plans and arrangements, and the enforcement of restrictive covenant arrangements.
Hayley regularly provides counsel to public company executives, compensation committees and boards of directors as well as private founders and emerging growth companies with respect to day-to-day executive compensation and employment law matters, including corporate governance and securities-related best practices. She also has a growing practice representing corporations and individuals in the media, sports and entertainment industry, including representing social media influencers in their compensation, marketing and licensing arrangements.
Hayley earned her J.D., magna cum laude, from Brooklyn Law School and she received her B.A., cum laude, from the University of Pennsylvania.
